Welcome to Upskillable.

These Terms of Service (“Terms”) govern your access to and use of the Upskillable website, platform, applications, and related services, including our learning, skills management, training, assessment, and AI-assisted features, collectively referred to as the “Service.”By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to accept these Terms on behalf of that organization.

1. The ServiceUpskillable provides a skills and learning management platform that helps organizations create, manage, assign, track, and evaluate learning, skills, training activities, and related records.We may update, improve, modify, or discontinue parts of the Service over time as our platform evolves.

2. Accounts and AccessYou may need an account to access certain parts of the Service. You are responsible for keeping your login credentials secure and for all activity under your account.You agree to provide accurate information and to notify us if you become aware of unauthorized access to your account.

3. Acceptable UseYou agree not to misuse the Service. This means you may not:access or use the Service in violation of applicable laws;attempt to gain unauthorized access to the Service, other accounts, or related systems;interfere with or disrupt the Service;copy, resell, sublicense, or commercially exploit the Service without our written permission;reverse engineer, decompile, or attempt to extract the source code of the Service;use the Service to build a competing product or service;upload harmful code, malware, unlawful content, or content that infringes the rights of others;share your account credentials with unauthorized users.We may suspend or restrict access if we reasonably believe the Service is being misused or used in a way that creates risk for Upskillable, our customers, users, or systems.

4. Customer Content and DataYou retain ownership of the content, data, files, learning records, assessment information, user information, and other materials that you or your users submit to the Service (“Customer Content”).By using the Service, you grant Upskillable permission to host, process, store, display, transmit, and use Customer Content only as needed to provide, maintain, secure, support, and improve the Service.We do not claim ownership of your Customer Content.You are responsible for ensuring that you have the necessary rights, permissions, and lawful basis to submit Customer Content to the Service.

5. PrivacyOur collection and use of personal information is described in our Privacy Policy, available at:https://upskillable.ai/privacyBy using the Service, you agree that personal information will be handled according to our Privacy Policy.

6. Upskillable Intellectual PropertyUpskillable owns the Service, including the software, platform design, workflows, features, visual elements, documentation, trademarks, content, technology, and all related intellectual property.These Terms do not transfer ownership of the Service or any Upskillable intellectual property to you.You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Service unless we give you written permission.

7. FeedbackIf you provide ideas, suggestions, recommendations, or feedback about the Service, you allow Upskillable to use that feedback without restriction or compensation. This does not give us ownership of your Customer Content or confidential business data.

8. AI-Assisted FeaturesSome parts of the Service may include AI-assisted features, such as content generation, learning recommendations, summaries, skills analysis, assessment support, or tutor-style interactions.AI-generated outputs may be incomplete, inaccurate, or not suitable for every situation. You are responsible for reviewing and validating AI outputs before relying on them.Upskillable does not make final employment, promotion, disciplinary, certification, safety, or compliance decisions. Customers and authorized managers remain responsible for decisions made using the Service.

9. Third-Party ServicesThe Service may integrate with or rely on third-party services, such as authentication providers, hosting providers, payment processors, video tools, communication tools, or content providers.Upskillable is not responsible for third-party services that are not controlled by us. Your use of third-party services may be subject to their own terms and policies.

10. Fees and PaymentSome parts of the Service may require payment. Fees, billing terms, subscription plans, renewal terms, and user limits may be described on an order form, invoice, checkout page, or separate agreement.Unless otherwise stated, fees are non-refundable and payable according to the agreed billing terms.We may suspend access to paid features if payment is overdue.

11. Beta and Early Access FeaturesWe may offer beta, preview, or early access features. These features may be changed, limited, or discontinued at any time and may not be as reliable as generally available features.Beta features are provided for testing and feedback and should not be relied on for critical use without appropriate review.

12. TerminationYou may stop using the Service at any time.We may suspend or terminate access if you violate these Terms, fail to pay applicable fees, create security or legal risk, misuse the Service, or if we are required to do so by law.After termination, your right to access the Service will end. We may retain or delete data according to our Privacy Policy, applicable law, and any separate agreement with your organization.

13. DisclaimersThe Service is provided on an “as is” and “as available” basis.To the maximum extent permitted by law, Upskillable disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted operation.Upskillable does not guarantee that the Service will meet every requirement, produce specific learning outcomes, ensure regulatory compliance, or be error-free.

14. Limitation of LiabilityTo the maximum extent permitted by law, Upskillable will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of goodwill, loss of data, or business interruption.To the maximum extent permitted by law, Upskillable’s total liability for any claim related to the Service will be limited to the amount paid to Upskillable for the Service during the twelve months before the event giving rise to the claim.Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

15. Changes to These TermsWe may update these Terms from time to time. When we make material changes, we will take reasonable steps to notify users, such as updating the “Last updated” date or providing notice through the Service.Your continued use of the Service after the updated Terms become effective means you accept the updated Terms.

16. Governing LawThese Terms are governed by the laws of Canada and the applicable laws of the province where Upskillable is legally established, without regard to conflict of law principles.
